## Credit Approval Depends on Underwriting Architecture

**Economic viability and credit bankability measure different attributes.** A transaction may generate adequate economic returns while remaining outside lender parameters because of leverage, collateral insufficiency, repayment-source opacity, tenor mismatch or structural subordination.

Capital raising therefore starts with underwriting architecture. The financing amount, debt quantum, amortization profile, collateral package and repayment mechanics must fit the underlying asset and the lender's credit mandate.

**Credit Issues to Resolve Before Lender Outreach**
1. [Debt capacity](#capacity)
2. [Asset-liability matching](#matching)
3. [Primary repayment source](#repayment)
4. [Downside resilience](#downside)
5. [Mandate mismatch vs structural deficiency](#mismatch)
6. [Total liability economics](#economics)

1\. Debt Capacity

### Size Debt From Underwritten Repayment Capacity

The requested financing amount reflects capital need. Debt capacity reflects underwritten repayment capacity.

Corporate facilities are commonly constrained by leverage, free cash flow, fixed-charge coverage and liquidity. Project facilities rely on CFADS, DSCR, LLCR and downside operating assumptions. Asset-backed structures depend on collateral eligibility, advance rates, concentration limits and liquidation values.

A borrower seeking $30 million may support only $18 million of senior debt. The residual requirement may require sponsor equity, subordinated capital, seller financing or another layer of the capital structure.

**Adjacent terminology:** debt capacity, leverage tolerance, CFADS, DSCR, LLCR, fixed-charge coverage, advance rate, borrowing base and collateral coverage.

2\. Structural Matching

### Match Liability Structure to Asset Duration

Tenor and amortization should correspond to asset duration and cash conversion.

A 120-day commodity cycle typically requires a self-liquidating trade facility. Receivables can support receivables finance or a borrowing base. Construction expenditure requires construction-period capital. Stabilized infrastructure can support amortizing term debt.

Acquisition financing may require several layers including senior debt, subordinated debt, seller financing and sponsor equity.

**Adjacent terminology:** asset-liability matching, weighted average life, amortization profile, cash-conversion cycle, bullet maturity, self-liquidating facility and structural subordination.

3\. Repayment

### Define the Primary Repayment Source

Repayment-source analysis sits at the center of credit underwriting.

Operating cash flow, assigned receivables, contracted offtake, inventory monetization and asset-disposal proceeds carry distinct credit characteristics. The facility structure should provide sufficient control over the relevant cash flows.

Cash dominion, collection accounts, waterfalls, reserve accounts, assignments, pledges and guarantees can strengthen repayment control and reduce cash leakage.

**Adjacent terminology:** primary repayment source, secondary repayment source, cash dominion, controlled account, waterfall, assignment, reserve account and cash leakage.

4\. Downside

### Stress Debt-Service Capacity Before Distribution

Base-case projections establish expected performance. Stress cases establish credit resilience.

Relevant sensitivities may include revenue compression, margin deterioration, delayed completion, higher interest expense, slower collections, cost overruns, FX volatility or commodity-price movements.

The resulting changes should flow directly into liquidity, leverage, covenant headroom and debt-service metrics.

A project may present acceptable base-case DSCR while breaching minimum coverage under reduced production or delayed completion. An operating company may appear conservatively levered before maintenance capex and working-capital absorption are incorporated.

**Adjacent terminology:** sensitivity analysis, stress case, covenant headroom, liquidity runway, minimum DSCR, downside case, break-even analysis and debt-service resilience.

5\. Lender Feedback

### Separate Mandate Mismatch From Structural Deficiency

Lender rejections have different informational value.

Jurisdiction restrictions, sector exclusions, ticket-size thresholds and portfolio concentration usually indicate mandate mismatch. These require lender remapping.

Repeated objections concerning leverage, collateral sufficiency, sponsor capitalization, tenor or repayment certainty indicate structural deficiency. These require transaction restructuring.

Confusing the two can produce unnecessary repricing or restructuring. It can also result in continued distribution of a structure that repeatedly fails the same credit test.

**Adjacent terminology:** lender mandate, credit box, portfolio concentration, hold size, minimum ticket, structural deficiency, lender remapping and credit feedback.

6\. Liability Economics

### Compare the Full Economic and Structural Package

Coupon provides only one component of financing cost.

OID, arrangement fees, commitment fees, amortization, cash sweeps, reserves, prepayment economics and covenant restrictions affect effective cost and financial flexibility.

Conditions precedent affect execution certainty. A lower-priced facility with extensive closing conditions may create more execution risk than a higher-priced facility with clearer approval parameters.

**Adjacent terminology:** OID, all-in yield, commitment fee, cash sweep, prepayment premium, covenant package, conditions precedent, execution certainty and financial flexibility.

## How the Credit Profile Changes Across Transaction Types

| Transaction | Principal Credit Metric | Typical Structural Focus |
| ----------------------- | ------------------------------------ | ------------------------------------------------- |
| Corporate debt | Leverage and cash-flow coverage | Amortization, covenants and liquidity |
| Project finance | DSCR and LLCR | CFADS, reserves and completion risk |
| Receivables finance | Eligible borrowing base | Dilution, aging and debtor concentration |
| Commodity trade finance | Collateral and transaction cash flow | Title, controls, advance rates and liquidation |
| Acquisition finance | Post-close leverage | Sources and uses, sponsor equity and debt service |

## Credit Readiness Before Lender Distribution

The underwriting file should reconcile before lender outreach. Historical financials, management accounts, debt schedules, capitalization, sources and uses, financial models and collateral schedules should support the same financing structure.

Material discrepancies create underwriting friction. They can also weaken confidence in management reporting and increase diligence requirements.

**Distribution quality depends on underwriting quality.** A broad lender list cannot compensate for unsupported leverage, weak repayment mechanics or inconsistent financial information.

## Capital Raising as a Price-Discovery Process

Structured lender outreach should produce comparable credit feedback and competing financing proposals.

Mandate-specific rejections inform lender selection. Recurrent credit objections inform restructuring. Term sheets provide information on market-clearing leverage, pricing, collateral requirements, amortization and covenant tolerance.

The resulting process is closer to credit price discovery than generic lender solicitation.
