Structured Debt Advisory for Commodity Transactions

Commodity companies often require debt that follows the physical trade cycle. Capital is deployed to purchase, process, transport or store goods, while repayment comes from inventory conversion, an offtake payment, export proceeds or the collection of trade receivables.

Financely is a structured debt advisory firm. We advise commodity traders, producers, importers, exporters and operating companies on the structuring and placement of institutional debt for physical commodity transactions.

Our work covers credit structuring, debt sizing, lender materials, lender selection, distribution, term-sheet negotiation, underwriting coordination and closing. For transactions requiring a dedicated commodity-finance mandate, see our debt advisory for physical commodity transactions .

The facility is built around the goods, contracts, cash conversion cycle, collateral and repayment mechanics of the transaction.

What We Finance

A commodity finance mandate can cover a single transaction or a recurring trading program. The appropriate structure depends on when cash is required, where title sits during the financing period and which assets or contractual rights are available to support the lender.

Commodity Purchases

Financing supplier payments and purchases before resale or delivery.

Inventory

Facilities secured against eligible commodities held in approved storage.

Receivables

Debt supported by invoices arising from completed commodity sales.

Production

Pre-export financing against contracted production and future export proceeds.

Logistics

Financing requirements linked to freight, storage, handling and the movement of goods.

Working Capital

Revolving facilities for established traders with recurring physical trade flows.

Debt Structures

Financely evaluates the transaction first and then determines which structure provides the strongest credit case.

  • transactional trade loans;
  • revolving commodity finance facilities;
  • borrowing-base facilities;
  • inventory-backed financing;
  • receivables financing;
  • pre-export finance;
  • prepayment structures;
  • documentary letter of credit facilities;
  • private credit facilities;
  • repo and title-finance structures;
  • supplier payment facilities; and
  • blended facilities combining several collateral classes.

Traders with recurring eligible inventory and receivables may be better suited to a borrowing-base facility for physical commodity trading rather than financing each cargo independently.

How We Build the Credit Case

The lender case has to reconcile the commercial transaction with the financing structure. We review the complete movement of cash, goods, documents and title.

Credit Area Assessment
Borrower Financial performance, liquidity, balance sheet, trading history and existing debt.
Supplier Contract terms, delivery obligations, origin, performance history and payment requirements.
Buyer Credit quality, payment terms, purchase commitment, concentration and performance.
Commodity Specifications, marketability, price volatility, valuation methodology and liquidation risk.
Margin Purchase cost, sales price, gross margin, financing cost and downside sensitivity.
Collateral Inventory, receivables, contracts, accounts, guarantees and other available security.
Repayment Timing and control of the cash event that ultimately repays each utilization.

Inventory and Receivables Can Support the Facility

A commodity trader's collateral changes throughout the transaction. The lender may initially finance a purchase, obtain control over inventory and then transition its collateral position into the receivable created when the commodity is sold.

That structure can support significantly more useful working-capital capacity than a fixed unsecured corporate facility where the trader has a recurring and well-documented trade cycle.

Financely also advises on commodity receivables financing for transactions where delivered goods have converted into eligible payment claims against approved buyers.

Pre-Export Finance for Producers

Producers can face a different working-capital problem. Cash is required for extraction, production, processing or preparation before the goods are available for shipment.

Where future exports are supported by suitable contracts and identifiable repayment proceeds, pre-export finance for commodity producers can provide a structure tied to expected export cash flows.

Financely's Role

Financely acts as structured debt adviser and arranger. We work with the client to develop the financing structure, prepare the credit case, identify appropriate financing institutions and manage the lender process.

Once lenders begin underwriting, we coordinate information requests, analyze term sheets, negotiate commercial financing terms and manage the debt workstream through closing.

Financing is ultimately provided by the relevant bank, private credit fund or financing institution following its own credit approval.

Frequently Asked Questions

Does Financely provide the debt?

Financely provides structured debt advisory and arranging services. The financing itself is provided by banks, private credit funds and other financing institutions.

Can a single commodity transaction be financed?

Yes, where the borrower, counterparties, economics, documentation, collateral and repayment mechanics support the proposed facility.

Can the facility revolve?

Recurring commodity flows may support revolving structures where collateral and transaction eligibility can be monitored throughout the facility period.

Does the indicative term sheet represent actual lender terms?

No. It illustrates how a commodity facility can be structured. Actual leverage, pricing, advance rates, security and other terms depend on lender underwriting and the facts of the transaction.

Can private credit finance commodity trades?

Private credit can be relevant where a transaction requires greater structural flexibility, a non-bank collateral approach or debt capacity outside a borrower's existing banking lines.

How long does a transaction take?

Routine transactions with complete information can often progress through structuring and initial lender execution within approximately 45 days. Final closing depends on credit approval, diligence and documentation.

Financely provides structured debt advisory and arranging services. Financely is not a bank or lender and does not guarantee financing, pricing, credit approval or closing.
