Specialty Finance Advisory for Complex Credit Transactions

Financely structures and places debt where conventional bank lending does not adequately address the collateral, cash flow or transaction.

We work on receivables-backed facilities, inventory finance, borrowing-base revolvers, contract-backed lending, warehouse lines, forward-flow structures, equipment and specialty-asset loans, securitization and other forms of structured private credit.

Our role is to determine what lenders can actually underwrite, prepare the transaction accordingly and place the mandate with capital sources suited to the asset and risk.

Request a Financing Quote

Specialty finance starts where standard corporate lending stops being the right tool.

A company may have valuable receivables but uneven EBITDA. An originator may need a warehouse line before it can access term ABS markets. A distributor may require a revolving borrowing base against inventory. A contractor may have a strong payment stream under a signed contract but lack sufficient conventional collateral. A specialty asset may have considerable realizable value while falling outside a bank's standard credit policy.

Those transactions require more than lender matching. The debt structure has to make the asset intelligible to credit.

What Financely Means by Specialty Finance

Specialty finance covers lending strategies built around assets, contractual cash flows or transaction structures that require more specialized underwriting than a conventional corporate loan.

The relevant credit can sit with a commercial bank, private credit fund, asset-based lender, specialty finance company, institutional investor or another capital provider with an appropriate mandate.

Financely is concerned with the structure rather than the label.

We identify the asset or cash flow available to support the financing, determine how lenders are likely to value and control it, establish an appropriate debt structure and prepare the file for institutional distribution.

Specialty Finance Solutions We Arrange

Asset-Based Lending

Revolving and term facilities supported by accounts receivable, inventory, equipment or other eligible business assets. Borrowing capacity can be governed by a negotiated borrowing base.

Receivables Finance

Facilities against performing trade receivables, contracted payment streams and diversified debtor pools, including structures that sit beyond conventional factoring.

Inventory Finance

Working-capital facilities against marketable inventory where title, location, valuation and lender control can be established.

Contract-Backed Lending

Debt structured around signed commercial contracts where the payment stream, counterparty, performance obligations and assignment mechanics support underwriting.

Equipment and Hard-Asset Finance

Secured facilities involving machinery, transportation assets and other identifiable equipment with measurable secondary-market value.

Specialty Collateral Finance

Transactions involving non-standard assets that require specialist valuation, security perfection and a lender able to underwrite the relevant collateral class.

Asset-Based Lending and Borrowing-Base Facilities

ABL is one of the core specialty-finance strategies.

The facility is built around the lender's recoverable collateral value rather than relying principally on an EBITDA multiple. Accounts receivable and inventory are commonly included in a borrowing base, while equipment and other fixed assets may support additional debt.

Eligibility rules, advance rates, concentration limits, reserves, field examinations and cash controls determine how much liquidity the borrower can actually use.

Financely structures these transactions through its asset-based lending arrangement and underwriting practice.

This can be particularly useful for distributors, manufacturers, wholesalers and other businesses whose working-capital assets support more credit than their cash-flow leverage profile would permit under conventional underwriting.

Receivables Can Support Several Financing Structures

A strong receivables book can support much more than invoice-by-invoice factoring.

Depending on concentration, debtor quality, dilution, payment history, jurisdiction and legal structure, receivables may support a revolving credit line, receivables purchase facility, borrowing-base loan, forward-flow program or securitization.

The financing case depends on the characteristics of the pool.

A diversified portfolio of short-dated corporate receivables behaves differently from one dominated by a single customer. Government receivables require different analysis from private-sector invoices. Contractual offsets, disputes, performance conditions and jurisdiction all influence recoverability.

Our accounts receivable financing work addresses operating-company requirements, while larger portfolios may justify a more institutional structure.

Inventory Finance Requires Control Over the Asset

Inventory only becomes useful collateral when the lender can establish ownership, location, value and an enforceable route to recovery.

That becomes especially important for commodities, imported goods and assets stored with third parties.

The structure may involve warehouse acknowledgements, collateral-management arrangements, insurance, periodic inspections, eligibility tests, concentration limits or mark-to-market requirements.

Inventory with a liquid resale market supports a stronger credit case than stock that is customized, obsolete or difficult to remove from the borrower's operating platform.

Specialty lenders care about liquidation value, not management's preferred accounting value.

Contract-Backed Finance

A signed contract can create financeable value where the underlying payment obligation is credible and legally usable as part of the lender's security package.

This can apply to contractors, suppliers, service providers and other companies holding awarded commercial contracts.

The lender will examine the counterparty, remaining contract value, cancellation rights, payment mechanics, performance obligations, gross margin and whether proceeds can be assigned or controlled.

A large contract by itself is insufficient. The lender needs an underwritable path from performance to cash collection.

Where that path exists, specialty credit can fund mobilization, procurement, payroll, inventory or other costs incurred before contractual payments arrive.

Warehouse Facilities for Originators

Specialty finance also applies at the lender and originator level.

An originator may create high-quality loans or receivables but lack the balance-sheet capacity to hold every asset until maturity.

A warehouse facility provides capital against an eligible portfolio while new assets are originated.

The lender will focus on underwriting policy, historical performance, servicing, concentration, eligibility, advance rates, triggers, reporting and the proposed take-out.

For mature originators, the warehouse can become the first stage of a broader capital-markets strategy.

Forward Flow and Whole-Loan Structures

Some originators do not need additional debt on their own balance sheet. They need committed institutional buyers for the assets they originate.

A forward-flow arrangement can provide agreed capital for qualifying loans, receivables or other financial assets as they are created.

The economics depend on asset eligibility, purchase price, yield, credit performance, servicing, repurchase obligations and the degree of risk retained by the originator.

Financely can help structure the transaction, prepare portfolio data and identify institutional capital sources capable of underwriting the asset class.

Warehouse-to-Term and Securitization

Where an originator achieves sufficient portfolio scale and performance history, specialty-finance assets can potentially move from warehouse financing into longer-term institutional capital.

The take-out can involve an asset-backed financing, private securitization, rated notes or other structured capital-markets execution.

The important work begins before the take-out.

The warehouse documents, eligibility rules, servicing data and collateral reporting need to support the eventual institutional transaction. A poorly designed warehouse can make later securitization unnecessarily difficult.

Specialty Finance Can Solve a Bankability Problem

Many specialty-finance mandates originate because a conventional bank has declined the transaction.

The reason matters.

A borrower with temporary EBITDA pressure and USD 30 million of collectible receivables presents one problem. A company with weak collateral and no credible repayment source presents another. Specialty finance can solve structural mismatch. It cannot make bad credit disappear.

Our first question is therefore not “who will lend?” It is “what exactly is the lender underwriting?”

Once that answer is clear, the relevant capital sources become much easier to identify.

Private Credit Plays a Major Role

Private credit is often the appropriate market where a transaction requires speed, structural flexibility or collateral treatment that does not fit a commercial bank's policy.

Private lenders can consider concentrated receivables, unusual collateral, acquisition-related structures, transitional credit and other situations that require judgment rather than standardized bank underwriting.

That flexibility comes with different economics.

Pricing, fees, covenants and control rights usually reflect the lender's risk and the scarcity of available capital.

Financely works across bank and non-bank markets rather than forcing every transaction toward one type of provider. Companies can also review our private credit coverage where the financing requirement extends beyond conventional specialty ABL.

What Makes a Specialty Finance Transaction Bankable

Identifiable Collateral

The lender needs to understand which asset or cash flow supports repayment and enforcement.

Measurable Value

Collateral value needs to survive lender haircuts and a realistic recovery analysis.

Legal Control

The security package must give the lender enforceable rights over the asset and proceeds.

Reliable Reporting

Borrowing bases and portfolio facilities depend on accurate collateral and performance data.

Repayment Capacity

Collateral protects downside. The lender still wants an orderly source of repayment.

Acceptable Economics

The yield and fees must compensate the lender for structure, risk, monitoring and capital usage.

Specialty Finance for Operating Companies

Operating companies typically approach Financely when their existing bank line no longer reflects the size or structure of the business.

Growth may have pushed working capital ahead of EBITDA. A customer concentration may be outside the bank's policy. An acquisition may have created a temporary leverage issue. The company may hold valuable inventory or receivables that are not being used efficiently in its existing debt structure.

In these cases, Financely examines whether another lender can extract more borrowing capacity from the same balance sheet through better collateral underwriting.

Specialty Finance for Originators and Finance Companies

Originators face a different problem.

Their assets may already be financeable. The constraint is the amount of capital available to fund continued origination.

A lender or specialty finance company may need a warehouse line, forward-flow purchaser, rated-note structure, securitization or institutional capital partner.

At this level, investors underwrite the portfolio and the platform simultaneously.

Historical losses, recoveries, servicing, underwriting criteria, concentration, vintage performance and management quality become central to the capital discussion.

Special Situations

Specialty finance becomes particularly relevant when conventional credit metrics tell only part of the story.

A company may have valuable collateral and short-term earnings disruption. Another may be completing a restructuring. A growing borrower may need additional liquidity before its financial statements catch up with operational expansion.

Private lenders can sometimes underwrite those situations where the downside is protected by collateral and the borrower has a credible path to stabilization.

This should not be confused with financing businesses that have no repayment source. Specialty finance is structured credit, not rescue capital without underwriting discipline.

How Financely Runs a Specialty Finance Mandate

Transaction Review

We examine the financing requirement, collateral, cash flows, existing debt and information available for underwriting.

Structure the Credit

We determine the appropriate facility type, collateral perimeter, proposed leverage and the major underwriting issues that need to be addressed before distribution.

Prepare the Lender Case

We organize the transaction information around the questions a specialty lender will actually ask rather than forwarding a generic company presentation.

Map the Capital Market

We identify banks, private credit funds, ABL lenders and specialty finance providers whose mandates fit the asset, jurisdiction and required ticket.

Institutional Distribution

Financely approaches selected lenders, manages information requests and filters feedback as the financing case moves through underwriting.

Term Sheet and Execution

We compare proposed structures, work through commercial issues and coordinate the financing process toward documentation and closing.

We Do Not Run Free Lender Searches

Specialty finance is advisory work.

These transactions take time to prepare because non-standard credits generally require more analysis, not less. The collateral needs to be understood. The structure has to be developed. The correct lender universe has to be identified. The file has to be prepared before institutional relationships are used.

Financely therefore accepts specialty-finance assignments on a paid mandate basis.

We do not distribute speculative files to lenders and hope somebody creates the structure for us.

Companies seeking capital should have the authority and budget to engage professional advisers and cover necessary diligence, legal and third-party execution costs.

When Specialty Finance Is the Right Market

Specialty finance is worth considering when a company has a credible asset or cash-flow base but conventional financing does not reflect its borrowing capacity.

That can mean a growing receivables book, significant inventory, a contractual payment stream, a portfolio of originated loans or another asset that can be independently valued and controlled.

It can also be appropriate where an established business requires a more flexible private lender because its current financial profile falls outside standard bank policy.

The important distinction is that there must be something real for the lender to underwrite.

Engage Financely for Specialty Finance

Financely advises operating companies, sponsors and specialty finance originators on structured debt transactions requiring a more tailored approach than conventional bank lending.

We work across asset-based lending, receivables finance, inventory facilities, contract-backed lending, specialty collateral, warehouse facilities, forward-flow structures and private credit.

Submit the requested facility size, use of proceeds, available collateral, current debt position and supporting financial information. We will assess the transaction and determine the appropriate mandate structure before lender distribution begins.
