How to Submit an RFQ to Financely

Share

Prepare an Underwritable Transaction File Before Submission

A Financely Request for Quotation is the first formal step in evaluating a proposed capital-raising mandate. The RFQ provides our team with enough transaction data to assess bankability, determine the required advisory scope and issue transaction-specific commercial terms.

The RFQ carries a US$500 professional assessment fee. The fee is credited against the final quote where the transaction proceeds into a Financely engagement.

1. Transaction

Define the Financing Requirement Precisely

The RFQ should identify the transaction before discussing potential lenders.

Provide the financing amount, currency, jurisdiction, use of proceeds and required tenor. Identify the relevant structure where known. Examples include senior secured debt, acquisition finance, project finance, receivables finance, inventory finance, pre-export finance, letters of credit or structured working capital.

Include the target closing date and any contractual deadline affecting execution.

Required transaction data: amount, currency, jurisdiction, use of proceeds, facility type, tenor, closing deadline and transaction status.
2. Counterparty

Identify the Borrower, Sponsor and Relevant Counterparties

Provide the legal entity seeking capital and the jurisdiction of incorporation. Include the sponsor or controlling shareholder where relevant.

For operating companies, provide current revenue and available financial information. Acquisition transactions should identify the buyer and target. Project finance submissions should identify the project company, sponsor and project stage. Trade finance submissions should identify the buyer, seller and material commercial counterparties.

Ownership and corporate structure should be sufficiently clear for preliminary KYC and counterparty analysis.

Relevant information: legal entity, ownership, management, operating history, jurisdiction, counterparties, revenue profile and transaction role.
3. Repayment

Explain How the Proposed Debt Will Be Repaid

A financing request requires an identifiable repayment source.

Corporate borrowers may rely on operating cash flow. Trade transactions may rely on controlled sale proceeds or assigned receivables. Project facilities may rely on contracted project cash flow. Acquisition debt may rely on post-closing cash generation.

Where security is available, identify it. This may include receivables, inventory, real estate, equipment, shares, project assets, guarantees or controlled cash accounts.

Existing indebtedness and prior-ranking security should also be disclosed. These affect debt capacity and collateral priority.

Credit information: primary repayment source, collateral, guarantees, existing debt, existing liens, expected cash flow and proposed security ranking.
4. Documentation

Upload the Documents Already Available

The initial RFQ assessment becomes more precise when the underlying transaction can be independently reviewed.

Relevant documents depend on the financing structure. Applicants should provide the material already available rather than delaying submission while assembling a complete lender data room.

Transaction Type Useful Initial Documents
Corporate debt Financial statements, management accounts, debt schedule, projections and corporate profile
Project finance Financial model, project budget, permits, offtake documentation, EPC information and sponsor profile
Acquisition finance LOI or SPA, target financials, sources and uses, acquisition model and buyer information
Trade finance Purchase contract, sales contract, invoices, shipment information, counterparty details and trade cycle
Asset-backed finance Receivables aging, inventory schedule, collateral valuation, debtor concentration and existing security

Missing documents can be identified during the assessment. The RFQ stage establishes what additional underwriting material will be required for execution.

5. Assessment Fee

What the US$500 RFQ Fee Covers

The US$500 fee purchases a transaction-specific professional assessment.

Our team reviews the borrower or sponsor, financing requirement, use of proceeds, repayment source, jurisdiction, counterparties, available documentation, proposed security and material execution risks.

We also assess likely capital-provider fit and identify material information gaps. This work determines the appropriate advisory scope, execution process and commercial terms for a potential mandate.

The RFQ fee purchases professional analysis rather than financing. It is separate from the subsequent mandate retainer. It provides no lender commitment or assurance of capital raising. Where the transaction proceeds into an engagement, the US$500 is credited against the final quote.

6. Review

What Happens After the RFQ Is Submitted

Financely reviews the transaction against its underwriting characteristics and the scope required to execute the mandate.

The assessment may identify a financeable structure in its current form. It may also identify information deficiencies, excessive leverage, insufficient sponsor capitalization, collateral limitations or another structural constraint requiring resolution before lender distribution.

Where an advisory engagement is appropriate, Financely issues written commercial terms setting out the scope, mandate fee and next steps.

The applicant can then review the proposal before entering the engagement. Execution begins after the applicable agreement is completed and the mandate retainer has cleared.

What Creates an Actionable RFQ?

An actionable submission gives the reviewer enough information to understand the legal borrower, financing quantum, use of proceeds, repayment source and transaction status.

Statements such as "we need investors" or "we require a loan" provide insufficient underwriting information. Quantified transaction data allows the financing requirement to be tested against debt capacity and mapped to an appropriate lender universe.

Describe the transaction rather than the desired outcome. Financing amount, cash flow, collateral, counterparties, repayment mechanics and contractual status provide substantially more underwriting value than promotional descriptions of the business.

RFQ Review and Full Mandate Are Separate Stages

The US$500 assessment determines whether Financely can formulate a transaction-specific scope. A full mandate covers the subsequent execution work.

Depending on the engagement, execution can include financial analysis, transaction structuring, lender mapping, information memorandum preparation, financial modelling, targeted lender outreach, term-sheet comparison, negotiation and closing coordination.

Separating assessment from execution allows both parties to define the transaction before committing resources to a full capital-raising process.
