## Capital Raising for Independent and Fundless Sponsors

An independent sponsor may have a signed LOI, access to management, a defensible acquisition thesis and no committed fund behind the transaction.

The transaction then has to support its own capital raise.

Financely works with independent sponsors, search funds and fundless sponsors to raise the debt and outside equity required to close acquisitions. The mandate can cover senior debt, unitranche, private credit, junior debt and mezzanine financing alongside outreach to prospective LPs, family offices and co-investors.

Sponsors evaluating a live acquisition can also review our [acquisition finance advisory for independent sponsors and search funds ](https://www.financely-group.com/acquisition-finance-advisory-for-independent-sponsors-and-search-funds?ref=blog.financely.io).

We run the capital process from initial sources and uses through lender and investor outreach, term sheets, diligence, documentation and closing.

## The Capital Stack Has to Be Solved as a Whole

A sponsor cannot determine the final equity requirement until there is a credible view on debt capacity.

If the purchase requires $30 million and lenders will provide $18 million, the remaining requirement may have to be covered by sponsor capital, outside LP equity, management rollover, seller financing or junior capital. If lender leverage changes during underwriting, the equity requirement changes with it.

We therefore run the debt and equity workstreams against the same capitalization model rather than treating them as unrelated raises.

Sponsors that already know they have an equity shortfall can review our page on [raising missing equity for a business acquisition ](https://www.financely-group.com/how-to-raise-missing-equity-for-business-acquisitions?ref=blog.financely.io).

## Debt We Can Arrange

The appropriate debt structure depends on purchase price, EBITDA, free cash flow, asset coverage, recurring revenue, customer concentration, management continuity and the amount of equity available at closing.

**Senior Secured Debt**

**Unitranche**

**Private Credit**

**Second-Lien Debt**

**Mezzanine Capital**

**Acquisition Bridge Loans**

**Asset-Based Debt**

**Seller Notes**

Transactions that exceed conventional bank leverage can be placed with [private credit providers active in acquisition financing ](https://www.financely-group.com/private-credit-for-acquisition-financing?ref=blog.financely.io).

Where the capital stack requires junior debt, sponsors can also review the differences between [unitranche, senior debt and mezzanine financing ](https://www.financely-group.com/unitranche-vs-senior-debt-vs-mezzanine?ref=blog.financely.io).

## LP and Co-Investment Capital

Fundless sponsors usually raise equity on a transaction-by-transaction basis.

Financely can identify and approach prospective capital sources whose investment profile matches the transaction. Depending on the deal, that universe can include family offices, private investment firms, institutional co-investors, private equity investors and other LP capital sources evaluating direct acquisitions.

The investor process is built around the actual transaction: purchase price, enterprise value, target performance, proposed leverage, sponsor contribution, management rollover, ownership economics, governance and projected exit.

Financely also provides [equity capital raising and structuring for M&A sponsors ](https://www.financely-group.com/equity-capital-raising-services-structuring-advisory-for-m-a-sponsors?ref=blog.financely.io)where outside equity is a material component of the acquisition.

## Procedure

**1\. Review**

We review the LOI or purchase agreement, target financials, purchase price, transaction expenses, existing debt, sponsor contribution, rollover equity and required closing date.

**2\. Structure**

We size sustainable acquisition debt, build sources and uses, determine the remaining equity requirement and evaluate where seller financing, mezzanine capital or rollover equity can reduce the outside equity check.

**3\. Prepare**

We organize the lender and investor materials, financial analysis, sources and uses, debt schedule, sponsor profile, transaction summary and supporting diligence required for institutional review.

**4\. Distribute**

The transaction is taken to lenders and prospective equity sources selected for the deal's size, geography, sector, leverage profile and capital requirement.

**5\. Negotiate**

We compare debt terms and investor proposals, including leverage, margin, fees, amortization, covenants, equity contribution, ownership, governance and closing conditions.

**6\. Close**

We coordinate the financing workstreams through lender underwriting, investor diligence, documentation, conditions precedent and funding.

Sponsors preparing for market can use our [business acquisition capital raising document checklist ](https://www.financely-group.com/business-acquisition-capital-raising-documents?ref=blog.financely.io)to see the information typically required before a serious financing process begins.

## Indicative Timeline

Timing depends heavily on how complete the acquisition diligence is when we are engaged. A routine transaction with responsive management and a prepared data room can move on the following schedule.

| Period | Workstream | Work Completed |
| ------------- | ------------ | ------------------------------------------------------------------------- |
| Days 1–5 | Review | Transaction analysis, information gaps and capital requirements |
| Days 5–12 | Structuring | Debt sizing, sources and uses, equity requirement and financing materials |
| Days 10–30 | Distribution | Lender, LP and co-investor outreach |
| Days 20–45 | Terms | Debt proposals, investor discussions and negotiation |
| Day 30 onward | Closing | Underwriting, diligence, documentation and funding |

Initial debt and equity terms can sometimes be obtained within 30 to 45 days. Closing may take longer where the acquisition requires extensive diligence, multiple equity investors, regulatory approval or negotiated intercreditor arrangements.

## Fundless Sponsors Can Run an Institutional Process

The absence of a committed fund does not automatically prevent an acquisition from being financed.

It does mean the sponsor has more to prove.

Capital providers will examine the quality of the target, sponsor experience, sponsor economics, personal or sponsor capital at risk, management continuity, proposed governance, downside protection and the credibility of the closing plan.

Our [business acquisition guide for independent sponsors ](https://www.financely-group.com/business-acquisition-guide-for-independent-sponsors?ref=blog.financely.io)covers the broader financing considerations for sponsors operating without a traditional committed fund.

## Seller Financing Can Reduce the Equity Requirement

A seller note can sometimes close part of the gap between senior debt and available equity, particularly where the seller is prepared to remain economically exposed after closing.

The note has to fit the senior lender's requirements around payment blockage, maturity, security and subordination. See our analysis of [seller notes for business acquisitions ](https://www.financely-group.com/seller-notes-for-business-acquisitions-structuring-seller-note-financing-that-closes-deals?ref=blog.financely.io).

## Frequently Asked Questions

### Can Financely raise both debt and equity?

Yes. A mandate can include acquisition debt placement and the identification and approach of prospective LPs and co-investment capital sources. Each capital provider makes its own underwriting or investment decision.

### Do I need to have a private equity fund?

No. We can work with independent, deal-by-deal and fundless sponsors where there is a defined acquisition and a credible financing plan.

### Do you work with sponsors before an LOI is signed?

Earlier-stage transactions can be reviewed, but capital providers generally engage more seriously once price, structure, target access and the transaction timetable are sufficiently defined.

### How much equity does an independent sponsor need?

There is no universal percentage. The requirement depends on purchase price, debt capacity, target cash flow, seller financing, rollover equity, transaction expenses and the risk tolerance of the lenders and equity investors involved.

### Can a sponsor raise acquisition capital without contributing anything?

Capital providers generally expect the sponsor to have meaningful economic alignment with the transaction. The amount and form vary by deal, but a structure based entirely on outside capital will receive closer scrutiny.

### How quickly can terms be obtained?

A well-prepared transaction can begin receiving substantive lender or investor feedback within several weeks. Routine mandates may reach initial executable proposals in roughly 30 to 45 days, while full closing commonly takes longer.

### Does Financely guarantee the capital raise?

No. Debt remains subject to lender underwriting and credit approval. Equity remains subject to the independent investment decision of each prospective investor. Financely manages the advisory, structuring, distribution and execution process.

Financely provides corporate finance advisory, debt arrangement and capital-source identification services. Financely is not a bank or lender and does not guarantee debt financing, investor commitments, pricing or transaction completion. Equity-related activities are subject to applicable law and transaction-specific requirements.
