Acquisition Finance | Logistics

European 3PL acquisitions combine cash-flow underwriting with cross-border operational risk. A multi-country fulfillment platform can have sticky customer relationships and recurring revenue, but lenders also examine lease exposure, labor costs, working-capital cycles, customer concentration and the legal structure through which debt will be raised.

Map Debt to the Corporate Structure

If warehouses, employees and customer contracts sit across multiple subsidiaries, the lender needs clarity on guarantees, upstream distributions, security enforceability and restrictions on moving cash between entities.

Financely structures acquisition finance around the actual target group rather than one consolidated EBITDA figure. Cross-border deals require a clean view of legal entities, local debt, leases, tax leakage and the location of key contracts.

Contract retention

Revenue by top client, contract tenor, termination rights and pricing mechanisms.

Warehouse economics

Lease term, rent escalators, utilization, automation and required capex.

Working capital

Billing terms, payroll timing, carrier costs and fulfillment seasonality.

Cross-border structure

Guarantor entities, security package, cash movements and local-law limitations.

Recurring Fulfillment Revenue Can Support Leverage

A lender will distinguish sticky warehousing and fulfillment contracts from more transactional freight revenue. Strong retention and embedded operational relationships can materially strengthen cash-flow underwriting.

If the transaction requires a bespoke structure, private credit and structured debt may offer flexibility around leverage, amortization, acquisition timing and cross-border collateral. The financing process should still begin with conservative debt sizing and a clear liquidity plan.

Do Not Ignore Warehouse Lease Risk

A 3PL can lose substantial enterprise value if a critical site has a short lease, a large rent reset or weak renewal protection. The credit file should reconcile customer contract tenor with warehouse commitments and any relocation capex.

Build the Cross-Border Financing Dossier

Provide entity charts, country-level financials, customer concentration, contracts, lease schedules, warehouse utilization, debt and lien information, capex history, working-capital analysis, transaction documents and a consolidated debt-service model.

Request a Financing Quote

For a live transaction, submit the purchase terms, target financials, buyer profile, requested capital structure, collateral details and closing timetable. Financely will determine the appropriate advisory scope and provide commercial terms for a qualifying mandate.
