Acquisition Financing for Asset-Light Freight Brokerages
Financing structures for buyers acquiring freight brokerages where value is driven primarily by customer relationships and cash flow.

Asset-light freight brokerages present a different credit case from trucking companies. There may be little hard collateral, but a well-run brokerage can generate recurring shipper revenue, attractive gross profit and meaningful free cash flow. Debt capacity depends on how durable those economics remain after the seller exits.
Cash Flow Matters More Than Fleet Value
Because the target owns few trucks or trailers, lenders focus on normalized EBITDA, gross profit, customer concentration, shipper retention and the working-capital cycle. A buyer should prove that revenue is generated by a repeatable brokerage platform rather than the seller's personal relationships.
A properly prepared acquisition financing package should separate gross billings from net revenue and show gross margin by customer or major account where the data is available.
Customer concentration
Show gross profit by the largest shippers, not just top-line revenue.
Carrier payment cycle
Quantify the cash gap between paying carriers and collecting from shippers.
Owner dependence
Document who owns sales relationships, pricing and carrier procurement after closing.
Margin stability
Test gross margin through weaker freight cycles and changes in carrier capacity.
Senior Debt, Seller Paper and Liquidity
The cleanest structures often combine senior acquisition debt, buyer equity and a subordinated seller note. Seller paper can be especially useful when the seller remains important to relationship transfer, but its payment terms must be compatible with senior debt.
A brokerage can be profitable and still face a liquidity squeeze when carrier payments accelerate or large customers extend terms. Where eligible receivables are material, asset-based working-capital financing may complement the acquisition term loan.
Present the Brokerage as an Underwritable Business
The lender package should include customer concentration, historical gross margin, shipper retention, carrier-payment terms, AR aging, bad-debt history, employee retention, seller transition terms and a downside case. The model should include a realistic replacement salary for any owner functions that will continue after closing.
Financely works with buyers on acquisition capital structures and lender-facing transaction preparation. The emphasis is on matching the debt ask to the actual cash-flow profile rather than forcing an asset-heavy structure onto an asset-light business.
Credit Committee Question
If the seller stopped calling customers tomorrow, would the brokerage still produce the cash flow used to size the debt? The financing package should answer that question with data, transition planning and customer retention evidence.
